21 Invest France is a portfolio management company authorised and regulated by the French Financial Markets Authority (AMF - www.amf-france.org) under the number GP 99-06 on 12 February 1999 and having the status of alternative investment fund manager under European Directive 2011/61/EU. 21 Invest France manages professional private equity investment funds not subject to AMF approval and reserved for qualified investors.

Professional conduct rules

As a portfolio management company authorised and regulated by the AMF, 21 Invest France complies with the professional conduct rules applicable to its activities, including, where relevant, the professional rules and codes of conduct issued by AFG and France Invest and approved or extended by the AMF. 21 Invest France maintains internal policies and procedures designed to ensure compliance with these rules.

Conflicts of interest prevention and management policy

21 Invest France has implemented a conflicts of interest prevention and management policy and a conflicts of interest mapping designed to identify, prevent and, where applicable, manage conflicts of interest that may arise in the course of its activities, in accordance with applicable laws and regulations.
A conflict of interest may arise where the interests of 21 Invest France, its employees, its affiliates, the funds it manages or advises, its investors, portfolio companies or other relevant stakeholders may be directly or indirectly in competition.

Investors complaints management

In accordance with the applicable regulation, 21 Invest France has established a procedure for the management of client complaints.
A complaint is any statement of dissatisfaction addressed to 21 Invest France, regardless of the person or department to which it is submitted. A request for information, advice, clarification, service or performance is not considered to be a complaint.

21 Invest France (i) will acknowledge receipt of the complaint within a maximum period of ten business days from the date on which the written complaint is sent, unless a response is provided to the client within that period, and (ii) shall respond to the client by email or mail within a maximum period of two months from the date on which the written complaint is sent, unless duly justified exceptional circumstances arise, in which case the client will be informed accordingly.
If the complainant is not satisfied with the response received, or if no response has been received within two months, the complainant may refer the matter free of charge to the AMF Ombudsman, preferably using the online mediation request form available on the AMF website, or by post at the following address:

Information regarding the Deposit Guarantee and Resolution Fund (FGDR)

As a portfolio management company regulated by the Autorité des marchés financiers (“AMF”), 21 Invest France participates in the guarantee mechanism managed by the Fonds de Garantie des Dépôts et de Résolution ("FGDR"), where applicable.

This mechanism may cover, subject to the conditions and limits provided for by applicable laws and regulations, the inability of a portfolio management company to return to investors eligible financial instruments or cash held in connection with covered services. This guarantee does not constitute a guarantee of the value, performance or liquidity of the funds managed by 21 Invest France.

This guarantee is available to eligible professional and non-professional clients, subject to the exclusions provided for by applicable laws and regulations, including Article L. 312-4-1 of the French Monetary and Financial Code.
